Business Terms

1. Eligibility

You may use the Business Services only if you are authorized to act on behalf of the business.

By creating or claiming a business listing, you represent and warrant that:

• You are at least 18 years old.
• You have authority to represent the business.
• The information you provide is accurate.
• You will keep your information current.

If your authority changes, you agree to notify SmokiesApp promptly.

2. Business Verification

SmokiesApp may require verification before approving a business listing or claim.

Verification methods may include business email verification, phone verification, business documentation, public records, storefront verification, or other reasonable methods.

We may deny, suspend, revoke, or transfer a business claim if we cannot reasonably verify ownership or authority.

Verification does not constitute an endorsement of the business.

3. Business Information

You are responsible for keeping your listing accurate and up to date, including your business name, description, category, address, phone number, website, hours, photos, and other listing information.

4. Deals

Businesses may publish promotional offers (“Deals”) through SmokiesApp.

You are solely responsible for the accuracy, availability, pricing, redemption, inventory, taxes, and legality of your Deals.

Every Deal must include a start date, end date, and clear redemption terms.

To protect visitors who save an offer in advance for a planned trip, a Deal that is already live cannot be shortened, edited, or pulled early except with SmokiesApp’s approval or where required by law. Set terms you can commit to for the entire window, and do not post offers you cannot fulfill.

You control timing with start and end dates. You can schedule a Deal to begin on a future date, and you can take one down any time before it goes live. If you want flexibility, prefer shorter windows and schedule several offers for future start dates rather than posting one long, open-ended offer you might later want to change.

If something genuinely changes so that you cannot honor a live offer, for example the business closes, contact us promptly so we can help.

5. Exclusive Deals

Businesses may designate qualifying offers as Exclusive Deals.

By doing so, you represent that the Deal is available only through SmokiesApp and provides a better value than any substantially similar promotion your business is publicly advertising through its website, social media, email marketing, or other public channels during the same time period.

SmokiesApp may remove the Exclusive designation if these requirements are no longer met.

6. Events

Businesses are responsible for the accuracy, scheduling, admission, cancellations, safety, and legality of all events they publish.

7. Business Content

You retain ownership of your Business Content.

You grant SmokiesApp a non-exclusive, worldwide, royalty-free license to host, display, distribute, format, and promote your Business Content to operate and promote the Services.

8. Marketing Permission

You authorize SmokiesApp to use your business name, logo, photos, public listing information, published Deals, and published Events in the app, website, email communications, social media, advertising, and promotional materials relating to SmokiesApp.

You may ask us to stop using a specific asset or quote at any time by contacting us, and we will stop using it in new marketing going forward.

9. Moderation

We review claims, listings, Deals, and Events before they go live, and we aim to review most requests within one business day. That is a goal, not a guarantee, and review times can vary.

SmokiesApp may review, approve, reject, edit formatting, request clarification, remove content, or suspend listings at its reasonable discretion. We may also pause or reassign a claim if we receive a competing or credible ownership dispute.

We are not obligated to publish or keep any content, and a listing does not guarantee placement, visibility, traffic, or results.

10. Founding Business Program

Participation in the Founding Business Program is governed by the separate SmokiesApp Founding Business Program Terms, which you accept when you claim or add your business during the program.

11. Fees

Business Services are currently free unless otherwise stated.

We may introduce paid subscriptions, premium features, advertising products, or other business services in the future. Pricing will be disclosed before charges apply.

12. Analytics

Business dashboards may display analytics including listing views, deal saves, deal redemptions, event engagement, and other interactions.

Analytics are provided for informational purposes only.

13. Business Responsibilities

You agree to:

• Honor your published Deals.
• Comply with applicable laws.
• Maintain necessary licenses.
• Obtain rights to submitted content.
• Respect intellectual property.
• Provide accurate information.

14. Suspension or Removal

We may suspend or remove business access if you violate these Business Terms, violate applicable law, repeatedly fail to honor Deals, submit false information, abuse the Services, manipulate analytics, or engage in fraud.

15. Disclaimer

Business Services are provided “as is” and “as available.”

We do not guarantee visibility, impressions, traffic, revenue, rankings, customer acquisition, or business results.

16. Limitation of Liability

To the fullest extent permitted by law, Smokies App, LLC and its affiliates, members, managers, officers, employees, contractors, licensors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the Business Services.

Our aggregate liability for all claims relating to the Business Services will not exceed the greater of:

• the amount paid for the specific Business Service giving rise to the claim during the preceding twelve (12) months; or
• one hundred U.S. dollars (US $100).

Nothing in these Business Terms limits liability that cannot lawfully be limited.

17. Indemnification

You agree to defend, indemnify, and hold harmless Smokies App, LLC and its affiliates, members, managers, officers, employees, contractors, licensors, and agents from claims arising from your business, products, services, Deals, Events, Business Content, or violation of these Business Terms or applicable law.

18. Governing Law, Venue, and Jurisdiction

These Business Terms and any dispute arising out of or relating to the Business Services are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.

To the fullest extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Business Terms or the Business Services must be brought exclusively in the state or federal courts located in Hamilton County, Tennessee, and each party irrevocably submits to the personal jurisdiction of those courts.

Each party waives any objection based on venue or inconvenient forum.

19. Changes

We may update these Business Terms from time to time. Continued use of the Business Services after revised Terms become effective constitutes acceptance of the updated Terms.
